Barely a month after German social housing software provider Aareon is sold off, another significant supplier to the sector and local councils, changing hands. At least a couple of customers contacted me and said they were dismayed at seemingly not even being informed of the planned sale.

This week Capita announced that they will be shedding ‘Capita One’, the home of OpenContractor, OneHousing, Education management solutions and ex-IBS OpenHousing. (not Irritable Bowel Syndrome, for latecomers to the sector, however it could at times create nearly similar effects!). For £207m, MRI the US Real Estate Asset Management specialist, via its Orchard entity nets several hundred new account numbers to add into its Sales Ledger and chart of accounts. The process is set to complete in August if no CMA (Competition and Markets Authority) challenges are encountered. I would say one was pretty likely as this effectively consolidates two of the remaining medium-large social housing solutions, with a single dominating supplier.

MRI is used to UK housing solutions acquisition, having consumed Castleton, Orchard & Housing Partners, over the last few years. However, I would wonder if the non-housing parts of this deal, such as Education management, will be quietly disposed of, one the dust settles

The media release blurb tells us, “MRI Software is a leading provider of real estate software solutions that transform the way communities live, work and play. The Buyer intends to support Capita One’s growth plans and further develop its product portfolio and customer base.”

Capita have recently been coming back to the market for some new housing system procurements with a fully web based housing product. OH to OneHousing not quite a quick lift and shift however, as a few sites appear to be finding. Potentially, MRI moving old legacy Orchard customers to OneHousing, could well be a much cheaper option than completing the latest re-tread for the former that’s underway. MRI still seem to have a gap for a modern Cloud/browser solution for small-medium RSLs/RPs. Newer challengers look to continue hoovering these ex-Kypera sites for at the the next few years then.

It will be interesting as ever in these cases how Capita helpdesk’s and account management will be consumed. Will slightly sub-optimal current service be impacted or can it be possibly improved ?

Suspects, there were many

After a few rumours that have been circulating since their Yuneo solution had its plug pulled, back last year, one of the well known #socialhousing solution providers has now changed hands. In the end it wasn't MRI , SAP or dinosaur system slayer Simon Reay, with the deep pockets. Aareal Bank and Advent International, are to sell Aareon (mainly) to TPG for approximately € 3.9 billion, so quite a payday for a few directors one would expect. Canadian investment outfit CDPQ are a minor investor too. Closing of this deal is expected to take place in the second half of this year (2024), subject to the usual customary closing competition conditions and approvals.

It should be noted that Texas Pacific Group (TPG Capital) are not a big software house (like MRI), they are investors.

So that includes Aareon UK, home to product such as QLX, QLF, Arthur, 1st Touch mobile (now “Digital Solutions by Aareon”), Fixflo etc. Many sites & some councils will have one or more of these solutions, which were big sellers in many procurements for some years prior to 2020. Products in the marketplace have moved on significantly though and some of the new entrants are snapping away successfully at the smaller Aareon sites. In the medium to large provider space, many are looking now to native browser and Cloud solutions, Salesforce, D365 etc, that still retain convenient and secure access to data.

The press release talks lots about ‘innovation for customers in the European housing ecosystem’ & ‘on a path of sustainable growth with exciting opportunities ahead for all stakeholders’. That’s got a feel for me of potential exciting dividends for stakeholders, it will be interesting to see how Aareon customers react to this development, if support and other costs rise, service delivered improves or goes backwards for UK housing associations, charities and councils.

Aareon staff have clearly been briefed to talk up the possibility of going ‘into an optimistic growth phase’. Its hard to work out how that might be achieved via sales with potentially sub-optimal product, based on the recent few years. Maybe some bargains may be trotted out here, or LinkedIn will flag up more royal staff, looking for other situations vacant. If I were TPG, I would be looking for decent returns within three years. Investors are brutal, that’s why they are successful.

Did you spot the latest chapter last week, in a major supplier to the socialhousing and local authority sector?

‘Chapter’ was the word used in a press release sent to the financial markets press, to herald Civica’s new US based owner Blackstone  (the world's largest alternative investment asset manager), picking it up for $2.5billion. You might recall that Partners Group (global private markets investment manager), picked it up in July 2017 for £1.06 billion, so has seen a healthy return there.

No doubt Blackstone will be looking to sweat their investment from the get-go, to start seeing some returns at that level of price paid.

When I mentioned this week to a client of mine (that also has one of the classic housing systems), that Civica has changed hands yet again, they were disappointed that it wasn’t MRI that had gobbled them up. Maybe a bid could be put in for some of the legacy housing systems still in use, a potential shot in the arm for the remaining Saffron, Contact Manager & UH crowd. Stranger things have happened!

I don’t know if you spotted it, (you won’t at the writing of this blog find it on Civica’s news section of their website), but last week (Wed' 3rd May 2017) it was announced that Banks are readying around £450m of debt financing to back a sale of Civica.

Civica have some penetration within social housing, via various mainly legacy housing systems, Keystone asset management, Servitor contractor module and the recent acquisition of common housing register platform Abritas. Of course they are into a lot of other local authority & public sector areas, such as Government & National Security, Local & Regional Government, Public Safety, Social Housing, Health & Care, Education, Travel & Transport, Commercial & Utilities, Telecoms, Financial & Legal.

They moved from 3i in 2013 to Omers Private Equity, with £255m of leveraged loans.

Social housing customers will be interested, particularly as the new Cx Housing Software product is at last being seriously rolled out. The large list of RSLs & RP’s on the sold-to list will be eager to see if additional resources can be leveraged to move more sites live, much more quickly.

These are interesting times with Cx being a very recently developed HTML5 delivered product, which could be a good potential future proofed option, compared with where some of its peers are at currently, with either systems still stuck fully or partially in old technologies or requiring a ‘skin over the top’ to make them presentable. I would not be so rude as to mention them here by name 8-) 

The list of solid ‘future-proofed’ systems for housing out there, seems to be reducing. It would be interesting to author a white paper or similar to research where it all seems to be going. Feel free to share any thoughts on that, via the comments area below or on direct message.

A piece of social housing ICT infrastructure news this week, you might have missed. Montal, Microsoft Gold Certified partner, who supply much of the social housing sector with cloud, hardware and other support services, were acquired by Castleton Technology PLC, for £3.84M on the 24th June 2014. The press release states " Castleton is an AIM quoted public company focused on investing in the technology sector. Montal is the first acquisition of its strategy to build a managed services business focussed on the housing and public sectors. The transaction was arranged by our shareholders MXC Capital, who are also significant shareholders of Castleton. Ian Smith, managing partner of MXC Capital is the CEO of Castleton".

It will be very interesting how the experience of customers in the social housing sector goes, with these changes. Also, with a focus on managed services, where that that leaves Montals' IT Consulting team, is unclear.
